The Contracting Parties Have Agreed upon the Following:

I. Preamble to the Agreement

1. The entitled is a corporate entity that supplies transfer of electronically edited data won by the legal entity from live production of performers to a third person and edits these data in a way typical of the activity known as internet video-conferencing, whereas the edited data may be used by the legal entity, eventually by the third person as contents of their own www-site.
2. The performer is a physical entity that uses his or her physical performance in order to create an artificial, a live-transmited audiovisual performance in electronic form.
3. The executive performer declares that he or she is a person older than 18 years of age. The executive performer is bound to submit his or her valid ID document to the entitled to have his or her identity and age verified by the latter. A valid ID card or passport may serve as such a document. The executive performer agrees to have a photocopy in electronical form (scan) of the submitted ID documents made by the entitled.
4. The executive performer grants approval to the entitled to saving, archiving and further to a more closely determinated disposal of the acquired photocopy of the submitted ID document. The disposal of the photocopy of the submitted ID document is namely of importance in order to safeguard evidence of the performers, when this evidence is under control of the entitled, in order to verify the identity and age of the performing artists for reasons of further organisational needs of the entitled, for instance in order to verify the facts mentioned in the ID document even to a third party. The entitled commits himself or herself to handle the photocopy of the submitted ID document in a way that does not oppose the law or agreement with the executive performer. 

II.Subject Matter of the Contract

1. The executive performer agrees to have the access to his or her live performance acquired via the entitled even by a necessary third person that is the operator of the website which makes the conduct of „internet video-conferencing“ possible.
2. By means of this agreement, the executive performer confers the entitled the sole right to perform the right to use the work according to more closely defined points.
3. The entitled accepts the confered authorisation to execute the right to use the artistic performance performed by the executive performer and is consentient with the fact that a reward appertains to the executive performer for this performance. This reward will be payed out to the performer in an amount and way in accordance with the text of this contract and its valid version, eventually its subcontracts. The entitled pleads that he or she will ensure that the artistic performance of the executive performer be not used in a way that would derogate the value of the executive performer.

III. Artistic Performance

1. The artistic performance will be realised by the performer by means of interactive chat (internet video-conferencing), when the technical equipment of the entitled enables the artist a direct connection to an appropriate website and thus arranges for the broadcasting of the artistic performance to a third person. Within the laid down period of time the executive performer is obliged to perform the artistic performance arranged by him or her, which will be edited and transmitted to a third person the appropriate way and 2.
2. The executive performer is as free performer not restricted as concerns his or her own production executed in the place and time dedicated to the execution of the artistic performance with the exception of the objections mentioned in this agreement.
3. During verbal or written address within the framework of the artistic performance, the executive performer is bound to use exclusively the English or German languages, exceptionally another language as well, but only if this other language contributes to a better evaluation of his or her performace than the English or German languages would do.
4. During artistic performance presentation, the executive performer is bound to obey the instructions given to him or her by the entitled or subjects authorized by the latter.
5. The executive performer is aware of any law regulations valid in his or her country that could be applied to the execution of his or her artistic performance, thus he or she is bound to respect all duties placed on him or her by these law regulations.
6. The executive performer will be executing his or her artistic performance under his or her artistic pseudonym, and will be enlisted under this pseudonym in the entitled one’s broadcasting frequencies list. The performer will choose and enregister this pseudonym in writing prior to initiating the execution of his or her artistic performance.

IV. Secrecy of the Executive Performer and Refrain from some Dealings

1. At executing the artistic performance, during the validity of this agreement in a period of 30 days after its termination, the executive performer is bound to refrain from any promotion of subjects other than the entitled as well as from the execution of any activity similar to the activity executed by the entitled or the activities of third persons cooperating at the broadcasting procedure.
2. While executing his or her artistic performance, the executive performer is bound to use exclusively his pseudonym, thus he or she will not perform under his or her real name and surname. The executive performer is bound to keep secrecy about any data concerning the place of executing his or her artistic performance.
3. An infringement of any of the duties given to the executive performer from this agreement, or violation of the provisions of the appropriate law will result in an immediate abrogation of this agreement.

V. Reward for the Executive Performer

1. The entitled pledges to grant the executive a reward for the execution of the right to use the artistic performance carried out by the executive producer.
2. The way of calculating payment of the executive performer, payment maturity and way of paying are dealt with as follows: The executive performer gets a commission off the profit that the performance broadcasted by him or her personally has made ( the level of commission is specified as 70%, in words: seventy per cent), whereas the amount taken into account is the amount that has really arrived as reward for the broadcasting executed in favour of the entitled. A commission for the mediation of further executive performers ( in his or her direct line) is also due to be paid out to the executive performer, namely in an amount of 10 %, in words: ten per cent) for the really arrived rewards for the broadcasting of direct mediated executive performers in favour of the entitled. Along with this, the periodicity pay day is determined by the date of the receipt of the commission to the account of the entitled, whereby the standard term of payment is 3 to 8 weeks after the executed broadcasting of the performance, depending on the flexibility of financial institutions.
3. The executive performer is fully aware of all law regulations imposed on him or her as well as his or her duties in connection with the assumption of the executive performer’s reward.Thus the executive performer is bound to tax the reward payed out to him or her in accordance with the provision of the law of income tax within his or her country as an income from the exercise of a profession that is neither an enterprise nor a trade according to special regulations.

VI.Conditions and Rules for the Performer

1. I will not participate in any illicit, obscene or prohibited behaviour, just in accordance with the local rules of law within my country. I also plead that it is upon my responsibility to learn what is acceptable within my country and keep LiveChatsAtHome.com away from any harm or damage if my behaviour should result in any civil or criminal penalty wiothin the same.
2. I will conduct and show bareness and erotic contents just as shown in sane, positive form, non-violent and consensual way concerning just normal, sane sexual desire.
3. Role-play depicting under-age sex, sexual abuse, incest, blood or brutality is forbidden. At breaking this rule you have automatically lost the right to broadcast online.
4. Do not share any personal detail about you with other performers, as concerns e-mail contact, address, account numbers, phone numbers, online chat ID user names and similar.
5. Do not offer escort service and prostitution. This involves exchange of emails, addresses, online chat ID ( Yahoo, MSN, ICQ, etc.) Asking customers for money is also forbidden. At breaking these rules You immediately loose the right to broadcast online.
6. Promotion of other websites or services is strictly forbidden and may lead to the expiry of Your Model account.
7. The display of too explicit contents ( for instance partly or completely bare human bodies or their parts) on Free Chat ( part of online chat where bareness is not allowed) is forbidden! A violation of this rule may lead to the blocking of Your Model account.
8. Reminder – the name of the website is LiveChatsAtHome.com. It is a membership organization. You were neither hired for this work, nor are you paid as employees.
9. Hereby the model grants full powers to LiveChatsAtHome.com to sit in for the model and to any acts to be exercised by LiveChatsAtHome.com for her.
10. LiveChatsAtHome.com is bound to warn the model of an evident inconvenience in behaviour that could result in damage occurrence. If the model continues in unacceptable behaviour, LiveChatsAtHome.com is not responsible for eventual harm occurred.

VII. Validity, Operation and Duration of the Agreement

1. This agreement is valid and effective as from the day of its reconciliation by both contracting parties
2. This agreement is concluded ad indefinitum.
3. Termination of the contract – The contracting parties have agreed that it is possible to terminate this agreement either by means of agreement or via denunciation according to the terms mentioned above in this agreement.
4. Contract denunciation - The contracting parties are competent of denunciating this agreement anytime, thus without giving reason. So the agreement relation based on this agreement ends after the ontract denunciation period has ended.The denunciation period starts to run on the day when an answer has been delivered to the other contract party, and the denunciation period ends when one calendar month has expired since the delivery of the denunciation to the other contract party.

VIII. Final Terms of Agreement

1. The executive performer is consentiable with the fact that the entitled does not provide any guarantee, that it will come to the execution of the artistic performance by the executive performer as settled in this Agreement and that the artistic performer will so be able to reach reward in accordance with this contract.
2. The executive performer is not competent to transfer his rights and duties resulting to him or her from this agreement onto a third person.
3. Any changes or amendments to this agreement may be treated only in form of written amendments agreed on between the contracting parties.
4. Both contracting parties assert after reading this agreement that they agree with its content, that this contract has been agreed upon and concluded as based on true indications, based on their true and free will, and that the agreement has not been settled under conditions unsuitable to one of the parties, as well as that the contracting parties have approved of the agreement without any violation.
